Rancak Media – PT Waskita Karya (Persero) Tbk, through its subsidiary PT Waskita Toll Road (WTR), has officially concluded all corporate actions concerning PT Cimanggis Cibitung Tollways (CCT). This significant transaction totaled Rp 3.28 trillion, notably including the divestment of WTR’s 35 percent stake in CCT to PT Bakrie Toll Indonesia.
“We are grateful that the series of corporate actions, including the divestment process of CCT shares, proceeded smoothly and has been completed. This step underscores the company’s commitment to its creditors and fulfills the Master Restructuring Agreement (MRA), which became effective in October 2024,” stated Muhammad Hanugroho, President Director of Waskita Karya, in an official statement quoted on Sunday (30/11).
Hanugroho further elaborated that the strategic divestment of toll roads is a crucial component of Waskita Karya’s broader business restructuring and transformation strategy. This corporate action is also designed to bolster the company’s financial recovery efforts while simultaneously addressing its strategic funding requirements.
“Waskita Karya remains dedicated to maintaining financial stability and will continue its toll road divestment initiatives. The company is also sharply focused on reverting to its core business as a leading construction firm specializing in building construction, water infrastructure, roads, and bridges,” Oho (Muhammad Hanugroho) affirmed, highlighting the strategic shift back to fundamental strengths.
With 65 years of extensive experience as a State-Owned Construction Enterprise (BUMN Konstruksi), Waskita Karya plays a vital role in elevating the quality of life for the Indonesian populace through essential infrastructure development. Hanugroho reiterated the company’s unwavering commitment to contributing to national progress and actively supporting various government programs across the archipelago.
Oho also added that the proceeds generated from this divestment will be strategically allocated to fulfill obligations to creditors, enhance the company’s liquidity, and strengthen cash flow for ongoing operational activities. This financial maneuvering will empower Waskita to meticulously re-evaluate and optimize its portfolio, ensuring that asset values are meticulously preserved and enhanced.
Prior to this transaction, the share composition of the Cimanggis-Cibitung Toll Road saw PT Sarana Multi Infrastruktur (Persero) holding 55 percent, PT Bakrie Toll Indonesia owning 10 percent, and Waskita Karya’s subsidiary, WTR, holding the remaining 35 percent.
“Moving forward, the company is poised to undertake further toll road divestments, recognizing them as an integral part of its financial strengthening strategy. Notably, in 2024, Waskita Karya has already divested a 25 percent stake in PT Trans Jabar Tol (TJT) to PT SMI,” Oho revealed, signaling a clear trajectory for future strategic asset management.
Over the past decade, Waskita Karya, through its WTR business group, has made substantial investments in 18 toll road segments, encompassing critical routes within the Trans Java and Trans Sumatra Toll Roads. Of these, nine segments have already undergone divestment since 2019. Collectively, Waskita Karya’s contribution accounts for more than 1,000 kilometers of the 3,000 kilometers of operational toll roads throughout Indonesia, underscoring its profound impact on national connectivity.
Oho emphasized the profound importance of toll road projects for society, attributing their significance to their extensive multiplier effect. Beyond merely facilitating inter-regional connectivity, these infrastructure developments possess the inherent potential to unlock new economic growth centers and generate widespread employment opportunities, driving holistic national development.
