According to the company’s management, this substantial corporate action is strategically designed to bolster its capital structure and significantly enhance the liquidity of its shares in the market. The allocation of these bonus shares will be sourced from the capitalization of additional paid-in capital, totaling Rp525.36 billion.

This move to issue bonus shares is an integral part of RISE’s overarching strategy to solidify its capital foundation by increasing equity. Concurrently, it aims to deliver added value to shareholders, acknowledging their unwavering support for RISE’s performance and business expansion. RISE has outlined a planned bonus share distribution ratio of 25:12. This ratio means that for every twenty-five existing shares, shareholders will receive twelve new bonus shares. It’s important to note that an alternative ratio may be determined by the board of directors and subsequently approved by the board of commissioners, in compliance with prevailing regulations.

The flexibility in adjusting this ratio ensures the optimal and proportionate execution of the corporate action relative to the total number of outstanding shares. The bonus share distribution will be calculated based on RISE’s nominal share value of Rp100 per share. This adheres strictly to the provisions of Article 9 of POJK 27/2020, which governs the capitalization of Additional Paid-in Capital for the issuance of bonus shares.

This meticulously planned scheme guarantees that all shareholders will receive their bonus share allocations fairly and equitably, based on their respective ownership proportions.

Beyond being a gesture of appreciation for shareholders, the distribution of these bonus shares is also strategically designed to boost market liquidity, increase the total number of circulating shares, and ultimately broaden RISE’s investor base.
